Merchant & Partner Terms of Service

Version: v1.0-2026 Effective Date: September 2026 Jurisdiction: Juba, South Sudan
Commercial Cash-First Notice: QuikkBusiness operates on a direct cash-first marketplace model in Juba. Merchant partners collect payment either directly from customers (for counter pickup orders) or through couriers delivering cash on delivery. Platform commissions and partner account settlements are reconciled manually or via agreed periodic cash settlements, not automated automated weekly bank transfers.

1. Partner Onboarding & Business Eligibility

These Merchant & Partner Terms govern the relationship between Quikk Technologies ("Quikk") and commercial merchants, restaurants, grocery vendors, and retail partners ("Partners") operating on QuikkBusiness and QuikkEats in Juba, South Sudan.

To be eligible for listing on the platform, Partners must:

  • Operate a legitimate commercial food or retail establishment with a verifiable physical premises in Juba.
  • Possess all required local municipal trading licenses, tax registrations, and health inspection certificates required by municipal authorities in South Sudan.
  • Complete the official merchant intake process and provide accurate business contact and location coordinates.

2. Catalog Management, Product Compliance & Restricted Goods

Partners maintain complete operational control and sole legal responsibility for products, prices, and descriptions listed under their storefront on QuikkBusiness and QuikkEats:

  • Item Accuracy & Pricing: Partners must ensure all product names, descriptions, pricing (in SSP), and allergen/ingredient disclosures are current, truthful, and accurate. Partners agree not to present deceptive or grossly inflated pricing exclusively for app users.
  • Operating Hours & Stock Synchronization: Partners must keep operating hours and stock availability synchronized in real time. Items that are sold out must be marked unavailable immediately.
  • Compliance with Product Laws: Partners warrant that all goods listed, prepared, packaged, or offered for sale comply with all national and municipal consumer protection, health, safety, and commercial trade laws in South Sudan.

Specific Obligations for Regulated & Age-Restricted Merchandise

Partners who list alcohol, tobacco, medicines, or other age-restricted goods must strictly abide by the following standards:

  • Valid Licensing & Authorizations: Partners listing alcoholic beverages or retail pharmaceuticals must hold all mandatory local municipal and national licenses, liquor permits, or pharmaceutical dispensing certificates. Quikk does not warrant merchant licensure to the public, and the Partner warrants full statutory compliance.
  • Accurate Product Tagging: Partners must accurately flag age-restricted items as "18+ Restricted" within their store catalog interface so that system safety flags, courier verification notices, and delivery warnings are correctly applied.
  • Pharmacy & Medicine Sales: Pharmacies and drug retailers must not list prescription-only pharmaceuticals, controlled medicines, or narcotics without strict adherence to dispensing regulations, registered pharmacist oversight, authentic manufacturer sourcing, and proper expiry monitoring.
  • Prohibited Products: Partners are strictly barred from listing illegal narcotics, unapproved pharmaceuticals, counterfeit goods, weapons, ammunition, fireworks, or hazardous chemical substances.
  • No Circumvention: Partners agree not to use the Quikk platform to evade statutory trading hours, local bans, or age-restriction verification requirements.

Platform Oversight & Sanctions

Quikk expressly reserves the right to:

  1. Immediately unpublish, remove, or modify any catalog item or category that violates platform policy or local law;
  2. Require partners to provide copies of valid licenses, permits, health certifications, or wholesale invoices upon reasonable request;
  3. Temporarily restrict product categories or suspend entire merchant storefronts pending compliance reviews; and
  4. Permanently terminate merchant access for repeated safety breaches, selling counterfeit or prohibited items, or attempting to distribute restricted goods to minors.

3. Order Preparation, Packaging & Courier Handoff

Upon receiving a digital order transmission through the Quikk merchant interface:

  • Preparation Timeliness: The Partner must accept or decline orders promptly. Accepted orders must be prepared within the target preparation window displayed in the application.
  • Tamper-Evident Packaging: Food items must be enclosed in clean, securely sealed containers or bags with tamper-resistant tape or staples to prevent contamination during motorcycle or tuk-tuk transit.
  • Courier Handoff: When the independent courier arrives at the merchant location, the Partner must verify the order identification code before handing over packages.

4. Food Hygiene, Storage & Regulatory Compliance

The Partner is solely responsible for food safety, quality, and hygiene:

  • Partners warrant that all food prepared, stored, and packaged complies with applicable public health and food sanitation standards in the Republic of South Sudan.
  • Quikk disclaims all liability for food adulteration, contamination, spoilage, or illness originating from the Partner's kitchen or storage premises.
  • Partners must immediately notify Quikk if municipal authorities issue a closure, health suspension, or hygiene sanction against their premises.

5. Cash Settlement & Platform Commission Framework

Commercial settlement is conducted in physical cash (South Sudanese Pounds):

  • Direct Cash Collection: For pickup orders, the Partner collects the total amount directly from the customer in physical cash. For delivery orders, the courier collects cash from the customer on delivery and delivers food payment to the merchant, or follows agreed daily cash handoff protocols.
  • Commission Framework: Platform service fees and commissions are agreed upon in the individual Partner Addendum. Platform fees represent the fee for technology listing, dispatch coordination, and customer connectivity.
  • Periodic Cash Reconciliation: In the absence of automated banking rails, account balances and commission obligations are reconciled on an agreed periodic basis (e.g., bi-weekly or monthly in-person settlement) between Quikk's Juba field representatives and the Partner's authorized management.
  • No Automated Bank/Card Payouts: Quikk does not guarantee or provide automated weekly bank card disbursements or digital wallet deposits during the cash-first launch phase.

6. Order Errors, Spoilage & Dispute Resolution

When customer complaints arise regarding incorrect items, missing dishes, or spoiled food:

  • If an investigation reveals that the Partner prepared an incorrect or incomplete order, the Partner absorbs the meal preparation cost and must supply the missing item or adjust the cash ticket accordingly.
  • If the courier fails to deliver or damages food during transit, the courier is investigated under courier terms, and the Partner will not be unfairly debited for courier fault.
  • Parties agree to settle commercial disputes through amicable in-person mediation at Quikk's operational office in Juba before pursuing court proceedings.

7. Suspension, Deactivation & Commercial Exit

Either party may terminate the partnership upon fourteen (14) days written notice. Quikk reserves the right to immediately suspend or unpublish a merchant listing in cases of repeated customer fraud, severe food hygiene reports, failure to honor cash commitments, or hostile conduct toward couriers or platform agents.
